Please read these Terms of Service ("Terms," "Agreement") carefully before using the OnTrack AI mobile application or website (collectively, the "Service") operated by OnTrack AI ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1.Acceptance of Terms
By creating an account, downloading the application, or otherwise accessing the Service, you affirm that you are at least 13 years of age, have the legal capacity to enter into this Agreement, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you and the organization.
2.Description of Service
OnTrack AI provides an AI-powered productivity application that offers task tracking, focus scoring, productivity analytics, goal management, and related features (the "Service"). The Service is available via our mobile applications (iOS and Android) and web platform at https://ontrackai.co.
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
3.Account Registration and Security
3.1 Account Creation
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us at [email protected] of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this obligation.
3.3 One Account Per User
Each user may maintain only one account. Creating multiple accounts to circumvent restrictions, bans, or subscription limitations is prohibited.
4.Subscription Plans and Payments
4.1 Free and Paid Plans
The Service is offered under a freemium model. Certain features are available at no charge ("Free Plan"), while advanced features require a paid subscription ("Premium Plan"). Details of current plans and pricing are available within the application and on our website.
4.2 Billing
Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you authorize us (or our payment processor, Stripe) to charge your payment method on a recurring basis. All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law.
4.3 Free Trials
We may offer free trials of Premium features. At the end of the trial period, your account will automatically convert to the applicable paid plan unless you cancel before the trial ends.
4.4 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to Premium features until the end of the paid period.
4.5 Price Changes
We reserve the right to change subscription prices. We will provide at least 30 days' notice of any price change. Your continued use of the Service after the price change takes effect constitutes your agreement to pay the new price.
5.User Responsibilities and Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates any applicable federal, state, local, or international law or regulation.
- Transmit any unsolicited or unauthorized advertising or promotional material, spam, or any other form of solicitation.
- Impersonate or attempt to impersonate OnTrack AI, a OnTrack AI employee, another user, or any other person or entity.
- Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which may harm OnTrack AI or users of the Service.
- Use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission.
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
- Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) of OnTrack AI or its licensors.
- Use the Service to develop a competing product or service.
- Upload or transmit viruses or any other malicious code that will or may be used in any way that will affect the functionality or operation of the Service.
6.Intellectual Property Rights
6.1 Our Intellectual Property
The Service and its entire contents, features, and functionality — including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof — are owned by OnTrack AI, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
6.2 License to Use the Service
Subject to these Terms, OnTrack AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes. This license does not include any resale or commercial use of the Service or its contents.
6.3 Your Content
You retain ownership of any content you create within the Service (e.g., tasks, goals, notes). By submitting content to the Service, you grant OnTrack AI a worldwide, royalty-free, non-exclusive license to use, reproduce, and process your content solely for the purpose of providing and improving the Service.
7.Privacy
Your use of the Service is also governed by our Privacy Policy, available at https://ontrackai.co/privacy. Our Privacy Policy is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
8.Third-Party Services and Links
The Service may contain links to third-party websites or services that are not owned or controlled by OnTrack AI. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. We strongly advise you to read the terms and privacy policy of any third-party website you visit.
The Service integrates with third-party services including Apple Sign-In, Google Sign-In, Stripe, and calendar providers. Your use of such third-party services is subject to their respective terms of service and privacy policies.
9.Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ONTRACK AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
ONTRACK AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; OR THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
The AI-generated insights and recommendations provided by the Service are for informational purposes only and should not be relied upon as professional advice. OnTrack AI makes no representations or warranties about the accuracy, completeness, or suitability of AI-generated content.
10.Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ONTRACK AI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) the Service;
- Any conduct or content of any third party on the Service;
- Any content obtained from the Service;
- Unauthorized access, use, or alteration of your transmissions or content;
- Any bugs, viruses, or other harmful code that may be transmitted through the Service.
IN NO EVENT SHALL ONTRACK AI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ONTRACK AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
11.Indemnification
You agree to defend, indemnify, and hold harmless OnTrack AI, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.
12.Termination
12.1 Termination by You
You may terminate your account at any time by deleting your account through the app settings or by contacting us at [email protected].
12.2 Termination by Us
We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason.
12.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13.Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
13.2 Dispute Resolution
Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English.
13.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.
14.Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective Date." For significant changes, we will also provide notice via email or in-app notification. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service.
15.Miscellaneous
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and OnTrack AI regarding the Service and supersede all prior agreements and understandings.
15.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
15.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
15.4 Assignment
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
